Terms of Service

1. EVENTRA IS A PLATFORM ONLY

Eventra LLC ("Eventra," "we," "us," or "our") operates an online platform intended to connect event organizers, hosts, vendors, performers, businesses, and other independent service providers ("Users").

Eventra is not an event organizer, host, vendor, performer, contractor, employer, agent, representative, partner, or service provider of any User listed on or using the Platform.

Eventra is not affiliated with, owned by, operated by, sponsored by, endorsed by, or otherwise associated with any User, host, vendor, performer, venue, business, or service provider unless Eventra expressly states otherwise in writing.

2. NO ENDORSEMENT OR GUARANTEE

The appearance of any person, business, event, service, product, listing, advertisement, profile, review, or other content on Eventra does not constitute an endorsement, recommendation, verification, certification, sponsorship, or guarantee by Eventra.

Eventra does not guarantee the:

• Identity of any User;
• Legitimacy of any User or business;
• Quality of any service;
• Accuracy of any listing;
• Qualifications or credentials;
• Availability;
• Pricing;
• Safety;
• Insurance;
• Licensing;
• Reliability;
• Performance;
• Attendance;
• Event outcome; or
• Legal compliance of any User.

Users are solely responsible for conducting their own due diligence.

3. USERS DEAL WITH EACH OTHER

Any agreement, booking, purchase, payment, service, event, performance, or other transaction between Users is solely between those Users.

Eventra is not a party to those agreements and does not assume responsibility for their performance.

Users are solely responsible for negotiating and enforcing their own contracts, prices, cancellation policies, refunds, deposits, insurance requirements, permits, licenses, taxes, and other obligations.

4. USER CONDUCT AND SERVICES

Eventra does not control what Users do, say, sell, provide, advertise, promise, or perform.

Eventra is not responsible for any User's:

• Actions or omissions;
• Services;
• Products;
• Events;
• Representations;
• Cancellations;
• No-shows;
• Delays;
• Injuries;
• Property damage;
• Theft;
• Fraud;
• Misconduct;
• Negligence; or
• Violation of law.

Any dispute involving a User, event, service, product, venue, or transaction must be addressed primarily with the User responsible for that matter.

5. THIRD-PARTY SERVICES

Eventra may use or integrate with third-party services, including payment processors, hosting providers, communication services, mapping services, and other technology providers.

Eventra is not responsible for the acts, omissions, availability, security, policies, or performance of third-party services.

6. PAYMENTS

Where Eventra facilitates payments, Eventra acts as a technology intermediary and does not guarantee that a User will perform their obligations.

Payment processing may be subject to additional terms imposed by third-party payment providers.

Eventra is not responsible for bank failures, payment-network failures, declined transactions, chargebacks, fraudulent transactions, payment delays, or other circumstances outside Eventra's reasonable control.

7. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTRA IS PROVIDED "AS IS" AND "AS AVAILABLE."

Eventra makes no warranties, express or implied, regarding the Platform, its availability, accuracy, security, reliability, Users, listings, services, events, or transactions.

Eventra does not guarantee uninterrupted, error-free, secure, or accurate operation of the Platform.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTRA LLC AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF MONEY, PROFITS, BUSINESS, DATA, PROPERTY, GOODWILL, OR OPPORTUNITY ARISING FROM OR RELATED TO YOUR USE OF EVENTRA OR YOUR DEALINGS WITH ANY USER.

To the maximum extent permitted by law, Eventra's total liability for any claim relating to the Platform shall not exceed the greater of $100 or the amount you actually paid directly to Eventra during the six months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

9. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Eventra LLC and its owners, members, officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from:

• Your use of Eventra;
• Your User Content;
• Your dealings with another User;
• Your event or services;
• Your violation of these Terms; or
• Your violation of any law or third-party rights.

10. ACCOUNT TERMINATION

Eventra may suspend or terminate accounts, listings, or access to the Platform at its discretion, including for suspected fraud, abuse, unlawful activity, security concerns, violations of these Terms, or conduct that may harm Eventra or its Users.

11. USER CONTENT

Users are solely responsible for content they upload or publish.

Users represent that they have the rights necessary to submit such content and grant Eventra a non-exclusive license to use, display, reproduce, and distribute that content as reasonably necessary to operate and promote the Platform.

12. CHANGES

Eventra may modify these Terms or the Platform at any time. Continued use of Eventra after changes become effective constitutes acceptance of the revised Terms.

13. GOVERNING LAW

These Terms are governed by the laws of the State of North Carolina, except where applicable law requires otherwise.
